2.4. The agreement is concluded by acceptance of this offer — registration of the Merchant on the Platform and/or payment of the Tariff. The written form is deemed to be observed.
3.1. In order to operate on the Platform, the Merchant undergoes verification and provides: its name and legal form, TIN, registered address, contact details of the authorised person, bank details, as well as licences and permits if the type of activity requires them.
3.2. Statuses of the Merchant's account:

3.4. The Merchant warrants the accuracy of the data provided and undertakes to report any changes thereto within no more than 5 working days.
4.1. The classifier of categories and subcategories is managed exclusively by the Operator. When adding an item, the Merchant selects a category from the list provided and is not entitled to create its own categories within the classifier.
4.2. A catalogue item may belong to several categories; the Operator is entitled to determine primary and additional categories and to correct the Merchant's categorisation.
4.3. The publication of new items and the amendment of existing ones pass through the Operator's moderation queue. Until approved, changes are not displayed to Customers.
4.4. The Operator is entitled to reject an item or withdraw it from publication if it breaches the law, this agreement or the categorisation rules, with notice to the Merchant.
4.5. The Merchant bears full responsibility for the accuracy of descriptions, prices, composition, weights, images and information on allergens and age restrictions.
4.6. The catalogue is single for the Merchant. When a new point of sale is created, the catalogue is duplicated to it but is not published automatically: the point of sale independently determines the availability of items via the stop list. Prior to publication, Customers see neither the item nor the stop list.
4.7. The Merchant shall ensure that, prior to the conclusion of the contract, the Customer is provided with the information set out in Article 28-1 of the Law of the Republic of Uzbekistan "On Protection of Consumer Rights", including the procedure for accepting complaints, warranty obligations, information on licences and permitting documents, and the procedure for terminating the contract.
5.1. The Merchant independently creates points of sale, sets their opening hours and manages the acceptance of orders. Outside working hours, the acceptance of orders is disabled automatically.
5.2. The Merchant assigns roles to its employees (owner, manager, cashier and others provided for by the Platform) and bears sole responsibility for the allocation of access rights.
5.3. Login to the POS is performed by scanning the QR code of the point of sale to which the employee is attached. The Merchant shall ensure that the QR code of the point of sale is not accessible to third parties beyond operational necessity.
5.4. The Merchant is liable for the actions of its employees on the Platform as for its own.
5.5. The Merchant is the employer and the personal data operator in respect of its employees.
6.1. The Platform transmits an incoming order to the Merchant together with a notification. The Merchant shall accept or reject the order within a reasonable time; where an order is rejected, the reason shall be stated.
6.2. The Merchant shall update order statuses in a timely manner. Statuses are visible to the Customer.
6.3. The Merchant shall fulfil an accepted order on the terms stated in the catalogue at the time of placement, including the price.
6.4. In-store order. An employee of the Merchant is entitled to place an order on behalf of the Customer at a point of sale. In doing so, the Merchant shall:
6.5. Guest order. The Platform permits an order to be placed without identification of the Customer. In such case the loyalty programme does not apply and the order is not linked to a customer account.
6.6. Returns and cancellations are carried out in accordance with consumer protection legislation. Where an order paid for online is returned, the funds are refunded to the Customer by the same method by which payment was made; the correction of the fiscal receipt is performed by the Merchant.
6.7. In the event of a breach of the deadline for delivering goods to the Customer, the Merchant shall pay the Customer a penalty in the amount established by Article 12-1 of the Law of the Republic of Uzbekistan "On Protection of Consumer Rights". The amount of the penalty established by the Merchant in its own terms of sale may not be lower than that established by law.
7.1. The Merchant independently selects a loyalty programme model from those provided for by the Platform and sets its parameters in the control panel. Configuration of the loyalty programme is performed only in the web panel; the POS application is not intended for configuring the business.
7.2. The Platform provides the technical means of calculation: accrual and redemption of points, application of discounts, determination of tiers, and recording of the transaction upon closing of the order.
7.3. The obligation to the Customer to provide the benefit (discount, points, reward) is borne by the Merchant. The Operator is not a party to the relationship concerning the granting of the discount and does not finance it.
7.4. The Merchant shall not retroactively worsen the terms of a previously announced loyalty programme in respect of points already accrued to Customers. Where the terms are changed, the Merchant shall notify Customers through the Platform in advance.
7.5. Points do not constitute funds, are not exchangeable for money and may not be assigned, unless the Merchant provides otherwise.
7.6. Upon ceasing operations on the Platform, the Merchant shall notify Customers at least 30 calendar days in advance and settle the obligations in respect of accumulated points before the date of cessation.
7.7. The Operator is entitled to suspend the Merchant's loyalty programme where signs of abuse are identified (artificial accrual, fictitious orders).
8.1. The Platform supports: cash payment at a point of sale, bank card payment at a point of sale, and online payment through integrated payment services.
8.2. In the case of cash and card payment at a point of sale, the funds are received by the Merchant. The Operator does not participate in the settlements and is not the recipient of such funds.
8.3. In the case of online payment, settlements are carried out through a licensed payment organisation. The routing of funds, the timeframes for transfer to the Merchant and the amount of the commissions withheld are determined by Annex 5 to this agreement.
8.4. The Merchant shall comply with the statutory restrictions on accepting cash, including in respect of goods subject to age and excise restrictions (alcohol, tobacco products) and in respect of the maximum amounts of cash settlements. Responsibility for compliance lies with the Merchant.
8.5. The Platform does not store the full details of Customers' payment cards.
8.6. The price of a product does not depend on the form of payment. The setting by the Merchant of different prices for the same product depending on whether payment is made in cash or by non-cash means is not permitted. Incentives for Customers making non-cash payments are provided in the form of the accrual of points or other benefits over and above the single price.
9.1. The Operator maintains, in the Merchant's panel, a record of transactions broken down by method of payment (cash / online) — the balance register.
9.2. The register reflects: order amounts, Platform commissions withheld (if any), amounts payable and amounts transferred.
9.3. Reconciliation is carried out monthly. The Merchant shall submit objections to the register within 10 working days, after which the register is deemed agreed.
9.4. The amount of the Platform's commission on turnover (if any) and the procedure for withholding it are established by the Tariff.

10.2. Pilot (free) period. The Operator is entitled to grant individual Merchants free access for an agreed period. The terms of the free period, including its duration and the scope of functionality, are recorded separately. Upon expiry of the period, the Merchant is entitled to decline to continue without penalties.
10.3. The Operator is entitled to change the Tariffs by giving the Merchant at least 30 calendar days' notice. Changes do not apply to a period already paid for.
10.4. In the absence of payment, access to the control panel and to the acceptance of new orders is suspended. Access to the data for export is retained for 30 days.
11.1. The Operator ensures availability of the Platform of at least 99.5% during a calendar month.
11.2. The calculation of unavailability excludes: scheduled works of which the Merchant has been notified at least 24 hours in advance; failures on the side of the Merchant, its equipment or internet service provider; failures of external services (payment systems, the fiscal data operator (OFD), telecommunications operators, application stores); force majeure.
11.3. Scheduled works are carried out during hours of minimum load.
11.4. In the event of a breach of the availability indicator, the Operator shall extend the paid period in proportion to the time of unavailability. No monetary payments are made.
11.5. Support contact channels and response times are determined by Annex 4 to this agreement.
12.1. The obligation to generate and issue a fiscal receipt for settlements at a point of sale lies with the Merchant and is performed using the Merchant's own online cash register. The Platform transmits to the Merchant the order data necessary to generate the receipt.
12.2. The procedure for fiscalisation in the case of online payment is determined having regard to clause 8.3 of this agreement.
12.3. The Merchant shall be registered with the fiscal data operator (OFD) system and shall ensure that the online cash register is operational. The Operator is not liable for the Merchant's failure to perform its fiscal obligations.
12.4. The Merchant independently calculates and pays taxes on its revenue.
12.5. The Merchant shall comply with the requirements of the legislation on the use of electronic payment systems and special QR codes in cases where their use is mandatory, and is not entitled to use QR codes belonging to other taxpayers.
13.1. Each of the Parties is an independent personal data operator in its own part: the Operator — in respect of the functioning of the Platform, the Merchant — in respect of servicing its Customers and its employees.
13.2. Personal data is processed and stored on servers located in the territory of the Republic of Uzbekistan. Categories of data for which the Law "On Personal Data" establishes a requirement of mandatory storage in the territory of the Republic of Uzbekistan are not transferred outside its borders; the transfer of other data is permitted only where grounds provided for by law exist.
13.3. The Merchant obtains access only to the data of Customers who have interacted with that Merchant, and only to the extent necessary to fulfil the order and to run the loyalty programme.
13.4. The Merchant undertakes to: use Customers' data solely for the fulfilment of orders and for its own loyalty programme; not to transfer Customers' data to third parties; not to export the customer base for use outside the Platform; and to ensure confidentiality at the level of its employees.
13.5. The Merchant shall have its own grounds for marketing communications with its Customers and shall comply with consent requirements.
13.6. A breach of clause 13.4 constitutes a material breach of the agreement and grounds for the immediate suspension of access.
14.1. Service notifications to Customers (confirmation codes, order statuses) are sent by the Platform automatically.
14.2. The Merchant's marketing mailings to its Customers are carried out through the Platform in compliance with the frequency limits established by the Tariff and the Platform rules.
14.3. The Operator is entitled to block a mailing containing inaccurate information or prohibited content, or breaching the limits.
15.1. All rights to the Platform, its software code, design, trade marks and documentation belong to the Operator. The Merchant is granted a limited, non-exclusive, non-transferable right of use for the term of the agreement.
15.2. The Merchant is not entitled to copy, decompile or modify the Platform, to circumvent technical restrictions or to carry out automated data collection without written permission.
15.3. The Merchant grants the Operator the right to use its name, logo and product images for display on the Platform and in the Platform's marketing materials.
15.4. Content uploaded by the Merchant remains its property; the Merchant warrants that it holds the rights thereto.
16.1. The Merchant is prohibited from listing and selling through the Platform goods and services the circulation of which is prohibited or restricted by the legislation of the Republic of Uzbekistan, without the relevant licences and permits.
16.2. The Merchant is prohibited from: artificially inflating positions in search results and in the catalogue, distorting categorisation, creating fictitious orders, abusing the loyalty programme, or using the Platform for actions that damage its infrastructure.
16.3. The Merchant shall observe age restrictions when selling the relevant goods.
17.1. The Merchant bears full responsibility to the Customer for the quality, safety and conformity of goods and services, as well as for the fulfilment of the order.
17.2. The Operator is not liable for: the quality of the Merchant's goods; the actions of Customers; failures of external services (payment systems, the fiscal data operator (OFD), telecommunications operators, application stores, internet service providers); or the Merchant's lost profit and indirect losses.
17.3. The Operator's aggregate liability to the Merchant is limited to the amount of the Tariff actually paid by the Merchant for the 3 months preceding the event.
17.4. The limitation under clause 17.3 does not apply in cases where its application is not permitted by law.
17.5. The Merchant shall indemnify the Operator for losses and expenses arising from third-party claims caused by the Merchant's breaches (including in respect of rights to content, the quality of goods and data processing).
18.1. The Merchant is entitled to terminate the agreement by giving the Operator at least 30 calendar days' notice.
18.2. The Operator is entitled to suspend access immediately in the event of: a breach of clause 13.4 (transfer of Customers' data), the sale of prohibited goods, signs of fraud, non-payment of the Tariff, or a demand from the competent authorities.
18.3. The Operator is entitled to terminate the agreement unilaterally in the event of a material breach, by giving notice to the Merchant. Where breaches are remediable, a period for remedy of 10 working days is granted.
18.4. Upon termination, the Merchant shall fulfil all accepted orders and settle the obligations under the loyalty programme.
18.5. The Merchant is entitled to export its data (catalogue, orders) within 30 days after termination.
19.1. The Parties are released from liability for non-performance of obligations caused by force majeure: natural disasters, military action, prohibitive acts of state authorities, mass failures of communications and power supply, large-scale cyberattacks, and restrictions on network access at state level.
19.2. A Party shall notify the other within 3 calendar days from the moment the circumstances arise.
19.3. If the circumstances persist for more than 30 calendar days, either Party is entitled to terminate the agreement.
20.1. The Operator is entitled to amend this agreement. The new version is published on the Platform stating the date of its entry into force and is permanently available to the Merchant for review in full.
20.2. The Merchant is notified of an amendment of the terms at least 30 calendar days before the amendments enter into force, in accordance with Article 13 of the Law of the Republic of Uzbekistan "On Electronic Commerce".
